Terms & Conditions
These Terms and Conditions (“Terms”) govern access to and use of the broker portal (“Portal”) owned and operated by Workwise (“Platform Owner”).
The Portal is made available by Workwise (“Operating Company”) to approved brokerages and their authorized users.
By accessing or using the Portal, the Brokerage and its authorized representatives agree to comply with these Terms.
1. Ownership of the Portal
The Portal, including all software, design, features, listings, functionality, branding, and content, is owned by Workwise.
The Operating Company is authorized to use the Portal to manage listings, broker participation, customer invitations, and related business activities.
No rights of ownership are transferred to Brokerage through use of the Portal.
2. Eligibility and Access
Access to the Portal is limited to:
- Approved brokerages authorized by the Operating Company;
- Authorized employees, contractors, or representatives of the Brokerage;
- Customers invited through approved brokerage accounts.
The Operating Company reserves the right to approve, deny, suspend, or revoke access to any Brokerage or user account.
3. Account Responsibility
Brokerage agrees to:
- Maintain accurate account information;
- Keep login credentials secure and confidential;
- Ensure only authorized users access the account;
- Notify the Operating Company immediately of unauthorized access or suspected misuse;
- Accept responsibility for all activity conducted through its account.
4. Permitted Use
Brokerage may use the Portal solely for lawful business purposes related to:
- Reviewing listings;
- Sharing listings with authorized customers;
- Managing customer invitations;
- Participating in the Operating Company’s broker network.
Brokerage agrees not to:
- Use the Portal for unlawful, fraudulent, misleading, or deceptive purposes;
- Copy, scrape, export, mine, or systematically collect Portal data;
- Resell access to the Portal;
- Interfere with Portal functionality or security;
- Attempt unauthorized access to restricted data or accounts;
- Upload malicious code, viruses, or harmful software;
- Use automated systems, bots, crawlers, or scripts without permission.
5. Listings and Content
Listings displayed in the Portal may be proprietary, confidential, restricted, or exclusive.
Brokerage acknowledges that:
- Listings are provided for internal business review and approved customer sharing only;
- Listings may not be publicly reposted, syndicated, redistributed, or marketed outside permitted use;
- Listing information may change, be removed, or become unavailable without notice;
- The Operating Company controls which listings are made available.
6. Customer Invitations
Brokerage may invite customers to access listings through the Portal.
Brokerage agrees that:
- Invited customers may only use the Portal for viewing authorized listings;
- Brokerage remains responsible for customer conduct initiated through its account;
- The Operating Company may suspend customer access at its discretion.
7. Intellectual Property
All Portal technology, trademarks, software, interfaces, designs, documentation, and content remain the property of Workwise and/or the Operating Company.
Brokerage receives a limited, revocable, non-exclusive, non-transferable right to access and use the Portal.
Brokerage may not:
- Reverse engineer or copy Portal functionality;
- Replicate Portal workflows or design;
- Use Portal content outside authorized purposes.
8. Availability and Modifications
The Portal may be updated, modified, suspended, or discontinued at any time.
Neither Workwise nor the Operating Company guarantees uninterrupted availability.
Maintenance, downtime, upgrades, or technical interruptions may occur without prior notice.
9. Privacy and Data
Brokerage agrees that information entered into the Portal may be collected, stored, and processed for operational purposes.
Brokerage is responsible for ensuring it has the necessary permissions to share customer information within the Portal.
The Operating Company and Workwise may maintain records related to Portal access, usage activity, login history, and acknowledgements.
10. Suspension and Termination
The Operating Company or Workwise may suspend or terminate access to the Portal if:
- Brokerage breaches these Terms;
- Brokerage violates the NDA;
- Misuse, fraud, or security concerns arise;
- Access is no longer commercially or operationally appropriate.
Upon termination, Brokerage must cease use of the Portal immediately.
11. Disclaimer
The Portal and its content are provided “as is” and “as available.”
Workwise and the Operating Company make no warranties regarding:
- Portal availability;
- Listing accuracy;
- Performance or uninterrupted service;
- Fitness for a particular purpose.
12. Limitation of Liability
To the maximum extent permitted by law, Workwise and the Operating Company shall not be liable for:
- Indirect or consequential damages;
- Loss of business, profits, data, or opportunities;
- Unauthorized access caused by Brokerage negligence;
- Downtime or system interruption.
13. Governing Law
These Terms shall be governed by the laws of the Operating Company with the broker; however, while dealing with Workwise, by the laws of the UAE.
14. Electronic Acceptance
By selecting an “I Agree,” “Accept,” checkbox, button, or continuing to use the Portal, Brokerage confirms that:
- It has read and understood these Terms;
- It agrees to be legally bound by them;
- The person accepting has authority to bind the Brokerage.
Electronic acceptance shall have the same legal effect as a handwritten signature.
Contracts concluded through the Online Platform are valid without signature or stamp.
